Terms of Use and Membership Agreement
Last Updated: October 17, 2026 · Version: 1.0
Article 1. Parties and Formation of the Agreement
1.1. This Terms of Use and Membership Agreement (“Agreement”) regulates the terms of the service relationship between Biostat Sağlık Hizmetleri Limited Şirketi (“BİOSTAT”), located at Atalar Mahallesi Yayla Sokak No:13/10 Kartal, Istanbul, and the natural or legal person who creates an account on the Ithera platform (“User”).
1.2. The Agreement is formed upon being presented to the User during registration and accepted electronically. Any person acting on behalf of another must be authorized to perform such action. Simply visiting the site does not constitute purchasing a paid service or providing explicit consent for all personal data processing activities.
1.3. The Privacy Policy, PDPL (KVKK) Disclosure Text, Cookie Policy, and any order-specific documents apply separately to their respective subjects. Reading the disclosure text or accepting this Agreement does not replace the requirement for separate consent where specifically needed.
Article 2. Definitions
2.1. “Platform” refers to the Ithera application provided via itheralab.com; “Service” refers to the enabled functions of the Platform; “Content” refers to audio, text, files, templates, notes, documents, messages, and related data uploaded or created by the User.
2.2. “Workspace” refers to the area where content is organized and shared via permissions; “Organization” refers to the corporate account created for managing members and shared credits; “Credit” refers to the unit of service usage consumed for relevant operations. Credit is not money, a deposit, or a payment instrument usable in other businesses.
2.3. “Output” refers to text and documents generated or updated by the system in line with the User's inputs and selected settings.
Article 3. Subject of the Agreement and Scope of Service
3.1. Ithera is a general-purpose software provided for transcribing voice notes, organizing notes, preparing template-based documents, updating relevant sections with new information, and storing and sharing content within the framework of permissions. Depending on the functionality used, features such as searching, answering questions related to notes, exporting files, and messaging between participants may be available.
3.2. The scope of the Service is limited to the features actually provided on the Platform and any purchased usage rights. Promotional examples do not constitute a commitment that every file will be processed in the same way or that every output will be suitable for a specific purpose.
3.3. The Platform is not an expert or consulting service that makes decisions on behalf of the User. It is the User's responsibility to evaluate the suitability of the Output for the intended purpose and to perform necessary final checks. This provision does not eliminate BİOSTAT's obligation to provide services in accordance with the Agreement.
Article 4. Membership, Representation, and Account Security
4.1. The User must have the legal capacity to enter into an agreement and must keep account and contact information accurate and up-to-date. If registering on behalf of a legal entity, the user must have representation authority. Creating an account using someone else’s identity or without authorization is prohibited.
4.2. The User is responsible for protecting their password, verification codes, and account access, logging out on shared devices, and reporting suspicious activity without delay. For individuals who need authorization, sharing and invitation functions should be used wherever available.
4.3. An action performed via an account does not necessarily imply the User is at fault in every case. In claims of unauthorized access, the circumstances of the event, technical logs, and the obligations of the parties are evaluated collectively.
Article 5. User Content and Third-Party Information
5.1. The User agrees that they possess the necessary rights to use and share the uploaded Content and will not violate the intellectual property rights, personality rights, or privacy of third parties. Possessing content does not grant the authority to process it for any purpose or disclose it to everyone.
5.2. If recording other people’s voices or uploading their information, necessary notifications must be provided to the relevant individuals, and appropriate legal conditions must be met for the processing. The User pressing the record button is not considered as explicit consent given on behalf of other people. If there is no necessary authorization or legal basis, the Content in question should not be uploaded to the Platform.
5.3. The User should remove identity and contact information not required for the service and use expressions that do not directly identify individuals whenever possible. Passwords, verification codes, full payment card details, and secret access keys must not be added to the Content. Using a pseudonym does not make the Content anonymous if the person can still be identified from other information.
5.4. For operations involving special category personal data or data related to children, the additional requirements of the relevant legislation must be satisfied. General membership acceptance does not replace these requirements. Obligations arising from the User do not remove BİOSTAT’s own responsibilities regarding its data processing activities.
5.5. When receiving a claim or violation notice that calls the lawfulness of the Content into question, the User is obligated to review the relevant content and cooperate with BİOSTAT for necessary corrections. Only information and documents related to the subject are requested for review.
Article 6. AI Operations and Use of Outputs
6.1. The Service may involve the processing of relevant audio, text, files, and templates in external AI services. The scope of the data flow is explained in the Privacy Policy and the PDPL (KVKK) Disclosure Text. Not all processing is performed on the User's device.
6.2. Outputs may contain incomplete transcriptions, misinterpretations, non-existent information, or outdated expressions remaining from templates. The User must review the accuracy of names, dates, numbers, units, context, and relevant sections before sharing the output or using it as a basis for any action.
6.3. Protecting certain parts of a template does not mean these parts are verified for new events. Font, page layout, and page count may change in different file formats. The final appearance of the exported file should be checked separately.
6.4. The originality of automatically generated Output, its exclusivity to a single user, or its eligibility for intellectual property protection in every instance is not guaranteed. Third-party rights and applicable legislation are reserved.
Article 7. Sharing, Messaging, and Organizations
7.1. The User determines the recipients and access permissions for shared items. Viewing, contributing, editing, downloading, or other permissions are applied within the selected scope. It is the User's responsibility to ensure invitations are not sent to wrong recipients and to regularly check shares.
7.2. Organization management does not grant the authority to view members' personal notes and document contents. An administrator can access membership, usage, and credit information provided for organization management. If content is shared with an administrator separately, access stems from that specific sharing permission, not from the administrative role.
7.3. The organization's shared credits and member usage limits are managed through the relevant account. Joining an organization does not transfer the individual's entire Content to the organization. Corporate domain matching may provide suggestions or participation processes based on verification and joining settings; these do not create Content access by themselves.
7.4. Messaging areas should be used for work and sharing purposes. All copies of files previously downloaded, copied, or exported by a person whose access has been revoked cannot be reclaimed via the Platform. Recipients continue to be responsible for their own actions.
Article 8. Credits, Pricing, and Orders
8.1. The Service is credit-based; membership does not automatically constitute a mandatory monthly subscription. Credits required for operations and the current balance are evaluated within the framework of relevant terms of use. In cases where credit is used from an organization account, that account's limits also apply.
8.2. Paid credit purchases and automatic billing are not yet active. Listing packages does not mean payment is collected. When sales commence, the price, tax, credit amount, validity conditions, and relevant pre-information will be provided before ordering.
8.3. If auto-refill is offered, it must be explicitly activated with clearly defined conditions. Accepting membership is not an authorization for future indefinite charges. For cancellation and refund issues, the Delivery, Cancellation and Refund policy and order-specific documents apply.
8.4. Disputes regarding erroneous credit deductions or duplicate transactions are examined via relevant transaction logs. Without prejudice to legal rights, future price changes do not retroactively alter the cost of completed orders.
Article 9. Prohibited Uses
9.1. The Platform cannot be used to produce or disseminate unlawful Content, perform unauthorized recording, access someone else’s account, impersonate, or send harassment or unsolicited bulk messages.
9.2. Circumventing access controls, uploading malicious software, sending automated requests that disrupt the service, collecting others' data without permission, and abusing credit/payment mechanisms are prohibited. Except for exceptions permitted by mandatory law, no interventions can be made to unauthorizedly replicate the software or obtain its source code.
Article 10. Intellectual Property and Limited Usage Rights
10.1. Rights to the Platform's software, brand, design, and elements prepared by BİOSTAT belong to BİOSTAT or the relevant rights holders. The User is only granted the authority to use the Service within the scope of this Agreement; ownership or the right to general resale is not transferred.
10.2. The User retains rights to their own Content. The User grants permission to host, technically reproduce, transform, process, and transmit the Content to chosen recipients to the extent necessary for the provision of the Service. This authority is limited to the purpose of the service, the required time, and authorized providers; it does not constitute a license to use the Content in advertisements, sell it, or use it for unlimited model training.
Article 11. Technical Conditions, Storage, and Service Continuity
11.1. The Service requires an appropriate device, browser, microphone permission, and internet connection. Locking the screen, backgrounding the application, disconnecting, or clearing device memory may affect recording and uploading processes. A record should not be assumed to have reached the server without receiving a completed upload notification.
11.2. The local recovery mechanism is intended to reduce the loss of captured audio fragments; it does not retrieve unsaved audio and does not provide a guarantee of uninterrupted recording. Storage conditions for local and server copies are explained separately in the Privacy Policy.
11.3. Access may be temporarily affected due to maintenance, security interventions, or external service outages. BİOSTAT takes reasonable measures necessitated by the situation to mitigate effects and inform the User whenever possible. The use of external services does not automatically remove BİOSTAT's own obligations.
11.4. It is recommended that the User maintain appropriate copies of important outputs. This recommendation does not transfer all storage or security obligations within the scope of the Service to the User.
Article 12. Violation Review, Suspension, and Termination
12.1. In case of a concrete security risk, unlawful use, authorized authority order, or material breach of the agreement, access to the relevant Content or account may be restricted in proportion to the risk. Unless there is an emergency intervention or a legal obstacle, the reason and opportunity for correction will be notified. The User can submit explanations or objections to the support channel.
12.2. The User may request account closure. Closing an account does not automatically end ongoing payment disputes, accrued debts, or legal retention obligations. Data that does not need to be kept is subjected to relevant deletion processes. Copies exported by sharing recipients are evaluated separately.
12.3. In the event of permanent termination or substantial narrowing of the Service, reasonable notice and opportunities for exporting Content will be provided to the extent legally and technically possible. Legal claims regarding unused paid rights are reserved.
Article 13. Scope of Liability
13.1. The liability of the parties is determined according to the applicable legislation, taking into account the breached obligation, fault, damage, and causal link. The User's own responsibility for claims arising from unlawful Content or unauthorized sharing, and BİOSTAT's liability for its own acts and omissions, are reserved.
13.2. This Agreement cannot be interpreted as an advance disclaimer of liability for BİOSTAT’s willful misconduct or gross negligence, as a waiver of the consumer’s mandatory rights, or as an exemption from obligations regarding the protection of personal data. Simply providing notice does not shift the burden of all damages to the other party.
13.3. Events beyond the parties' reasonable control are only evaluated to the extent they genuinely prevent the performance of the relevant obligation. The affected party is obligated to mitigate the damage and inform the other party whenever possible. Routine maintenance or preventable security deficiencies do not count as force majeure for this reason alone.
Article 14. Notifications, Changes, and Other Provisions
14.1. Service and security-related notifications may be made via communication channels registered in the account or via the Platform. Necessary permissions for commercial promotional messages are obtained separately; membership does not replace marketing consent. Notifications for which the law requires a specific form are subject to that procedure.
14.2. Material changes are announced by stating the effective date and scope; where acceptance is required, such acceptance is obtained. Changes do not eliminate acquired rights or legal remedies regarding completed transactions.
14.3. The invalidity of a provision does not automatically prevent the application of the remaining provisions. Failure to exercise a right immediately does not mean that the right is waived. The User cannot transfer their contractual account or rights to a third party without BİOSTAT’s consent, except as permitted by law.
Article 15. Governing Law and Communication
15.1. This Agreement is governed by Turkish law. In case of disputes, the legally authorized courts and authorities shall be taken as a basis. The rights to apply to consumer arbitration committees and consumer courts, along with other mandatory protective provisions, are reserved.
15.2. Applications regarding the Agreement and support can be sent to the address BİOSTAT — Atalar Mahallesi Yayla Sokak No:13/10 Kartal, Istanbul or via info@itheralab.com. Applications should include account information and a description of the request; passwords or payment security codes must not be sent.
